Terms of service

1. Agreement to terms
By engaging Tactics Digital ("Tactics Digital", "we", "us") for services, you agree to these Terms of Service. These terms govern all service engagements, platform access, and ongoing retainer relationships. If you do not agree, do not engage our services.
2. Services
Tactics Digital provides AI implementation services including but not limited to: AI-powered lead follow-up systems, internal knowledge assistants, workflow automation, and related consulting services. The specific scope of each engagement is defined in a written Statement of Work or service agreement signed by both parties.
We reserve the right to decline any engagement that conflicts with our values, technical capabilities, or legal obligations.
3. Payment terms
Setup fees are due in full before work begins unless otherwise agreed in writing. Monthly retainer fees are billed on the first of each month and due within 7 days. Late payments may result in suspension of service.
All fees are in Canadian dollars (CAD) unless otherwise specified. We accept payment via credit card, bank transfer, or other methods agreed upon in writing.
4. Delivery timeline
We commit to the delivery timelines stated in your service agreement. Timelines begin from the date we receive all required credentials, access, and information from you. Delays caused by incomplete information, unavailable contacts, or third-party integration issues are not counted against our delivery commitment.
5. Client responsibilities
You are responsible for: providing accurate business information and credentials required for implementation; ensuring all leads and contacts in your system have opted in to receive SMS and email communications; compliance with applicable laws in your jurisdiction including but not limited to TCPA (US) and CASL (Canada); and maintaining accurate and current contact information with us.
You represent and warrant that you have the legal right to use and share all data you provide to us for the purposes of the engagement.
6. TCPA and SMS compliance
All AI-powered SMS systems we build include TCPA-compliant opt-out mechanisms. You are responsible for ensuring that all phone numbers in your lead database have provided express written consent to receive automated text messages as required by applicable law. Tactics Digital is not liable for violations resulting from your use of non-consented contact data.
7. Intellectual property
Upon full payment, you own the specific implementation built for your business — the configurations, workflows, and data within your system. We retain ownership of our underlying methodologies, prompt libraries, system architecture, and any reusable components that are not specific to your business.
We may use aggregate, anonymized performance data from implementations to improve our systems. We will never share your business-specific data with third parties.
8. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the service relationship for a period of two years.
9. Limitation of liability
Tactics Digital's total liability for any claim arising from our services is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption. We do not guarantee specific business outcomes — results depend on your market, lead quality, and business factors outside our control.
10. Termination
Either party may terminate the monthly retainer with 30 days written notice. Setup fees are non-refundable once work has begun. If we fail to deliver a working system within the agreed timeline through our own fault, we will provide a full refund of the setup fee upon written request.
11. Governing law
These terms are governed by the laws of Alberta, Canada. Any disputes shall be resolved in the courts of Calgary, Alberta, unless both parties agree to an alternative dispute resolution process.
12. Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email to active clients with 30 days notice. Continued engagement after that period constitutes acceptance.
